Affiliate Agreement

The following are the terms and conditions of participating in the Carrot, LLC Affiliate Program. “Affiliate” refers to yourself, and “Carrot” refers to Carrot, LLC located at 950 SE Oak Ave Roseburg, OR 97470. Carrot, LLC reserves the right to update and change the Affiliate Agreement without notice by posting changes to this page of our website. You are advised to check the Affiliate Agreement often for any updates or changes that may impact your continued use of this Affiliate Program.

Payments and Commissions

Carrot will pay the Affiliate the appropriate commission based on the partners Tier for each Carrot Lead Gen Website System which is identified by a visitor from Affiliate’s unique Affiliate tracking Link and registered as the “last cookie”.

Affiliate commissions shall be paid via Paypal on a monthly basis by the 5th of each month. Carrot pays out on net-60 terms with a minimum earnings threshold of $49. Carrot reserves the right to modify the payment schedule at any time. If commission does not exceed $49 for affiliates, Carrot reserves the right to hold payment until commissions accumulate to the minimum amount.

All affiliate payments are to be made via PayPal. 

All international affiliate payments must be made to a physical mailing address. If no physical mailing address exists, all affiliate commissions earned will be forfeited with no recourse by the affiliate again Carrot.

If a qualifying sale is canceled or refunded, the related commission will be deducted from the next monthly payment.

All Affiliates are NOT employees of Carrot and are responsible for their own local, state, or country taxes. If you meet current IRS income requirements, you will receive your 1099 FROM PAYPAL.

Payment Eligibility 

Partners must maintain an ‘Active Status’ to be eligible for commission payments. To achieve and maintain ‘Active Status’, there are 2 partner requirements:

  • Have a complete affiliate account including your W9 tax information and Paypal email
  • Refer at least one new member each year

Failure to meet Carrot’s activity standards may result in removal from the program and immediate termination of commission payments. 

Affiliate applications

All Affiliate applications are subject to approval by Carrot.

Both Carrot and the Affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as rules of this agreement were not violated by the Affiliate.

Rules And Conditions

You will be issued an “Affiliate Link”, or unique URL, which allows Carrot to identify visitors from your site as originating from you. These visitors are tracked with this unique URL and sales are recorded with your Affiliate Id. To receive commissions, you must use the provided Affiliate Link. The URL may be in various forms such as a banner, image, or text link.

Carrot reserves all rights in or to its trademarks and servicemarks. The InvestorCarrot, AgentCarrot, or LegalCarrot trademarks may not be used to register internet domain names that contain those trademarks for any purpose. Affiliate may in no way display a Carrot logo, image, or trademark which may be distasteful, defame, or misrepresent.

Use Of iframes: Also, Affiliate shall not iframe in the carrot.com website or any form of your affiliate link onto your own website in any way shape or form. This includes making it look like our website is displaying on your domain. This can damage our branding efforts and is deceiving to the website visitor.

Affiliate shall not misrepresent Carrot products or services, including but not limited to making claims of pricing that does not exist.

Affiliate is solely responsible for insuring that their Affiliate Link is setup properly to qualify for commissions. You will only get commission credit on sales through your Affiliate tracking link and we will not retroactively credit an existing member with your affiliate code unless it was clearly driven by you.

Affiliate may not use their own Affiliate Link to order services from Carrot. Doing so will result in immediate reversal of any commission.

Affiliate agrees to not send unsolicited mail or SPAM mail to promote any Carrot products or services. This action WILL RESULT in immediate termination of your account with a cancellation of any pending commissions. Affiliate will also be in violation of the Carrot Affiliate Agreement and subject to legal action.

Affiliate agrees to never offer cash kickbacks or cash “rebates” to purchasers through your affiliate link. This devalues the service. Instead, offer valuable bonuses that add value to their account. Any Affiliate seen offering cash kickbacks or “rebates” will forfeit all affiliate commissions due and have your affiliate account suspended without notice.

Deceptive or Misleading Marketing

Affiliate agrees to not deceive in any way, shape, or form the web visitor so they will click your link. This includes, but is not limited to, making the visitor believe there is a special coupon or discount when it does not exist, making the visitor believe there is pricing that doesn’t exist, or any other form of deceptive marketing. This will result in forfeiture of any and all commissions due and closure of your account.

Affiliate agrees to not use keywords that include “coupon” “coupons” “cash back” “discount” “discounts” “rebate” or “rebates” as the primary phrases they’re attempting to rank for in the search engines. There are no discounts or coupons for our products and this doesn’t add value to the end client or to our Company. We celebrate Affiliates who add true value to our offering vs. going after no value add phrases like “coupon” or “discount” or “cash back” when those offers don’t exist within our Affiliate programs. Any use of these phrases in SEO title tags, descriptions, headings of any kind, will result in the cancellation of that Affiliates account and forfeiture of any unpaid commissions.

Trademark and Paid Search Policies

Adword bidding and pay-per-click search engines, such as Google, Yahoo, and Bing!, is a great way to drive traffic to your website and send your commission checks even higher. However, Affiliates engaging in paid search marketing campaigns agree to adhere to the following terms and requirements:

  1. Carrot, LLC protects its trademarks including but not limited to Carrot, InvestorCarrot, AgentCarrot, or LegalCarrot and does not allow any trademark bidding on any search engine or Paid Placement service sites. This includes, but is not limited to Google, Yahoo, Bing!, Ask and other similar services. Affiliates may not bid on trademarked or registered terms of Carrot trademarks (e.g Carrot, Carrot.com, InvestorCarrot, AgentCarrot, etc) or any phrase type, misspelling, variation or combination thereof, including, without limitation, those words listed in the restricted keyword list below. Any Affiliates found to be in violation of the foregoing may be banned from the Carrot Affiliate Program without prior notice, and on the first occurrence of behavior violation.
  2. Affiliates may not use their affiliate link or any of the Carrot.com domains and/or URLs (including, but not limited to Carrot.com) as the display domain or URL in the advertisement. When engaging in paid search engine campaigns, Affiliates must use their own domain and/or URL in their ads.

  4. Approved Display URL Examples: http://www.yourdomain.com/Carrot

Affiliate Income Disclaimer Requirement

Affiliate agrees to disclose the affiliate relationship to potential prospects and that Affiliate earns a commission by referring new customers to Carrot. This is just good honest practice and your customers will appreciate it… in addition to being a law set by the FTC for affiliate marketing. So please treat it seriously. We will void commissions generated if you’re not disclosing clearly your Affiliate relationship with Carrot.

Prohibited Sites

Sites that promote: sexually explicit material or violence do not qualify as an Affiliate. Sites that promote discrimination based on race, sex, religion, national origin, and physical disability, shall not be accepted. Sites that promote illegal activities shall not be accepted. Do not apply if your site promotes these kinds of activities. By applying, you are stating that your Site does not directly promote or endorse these activities.

Partner Code of Conduct

  1. Affiliate shall comply with the provisions of any applicable Carrot policy and Carrot instructions provided to Affiliate. This includes immediate compliance with Carrot’s requests for removal of certain content, statements, materials, or anything other collateral posted or distributed by Affiliate.
  2. Any claims Affiliate makes about Carrot or Carrot’s products or services shall reflect Affiliate’s honest and truthful opinions. If Affiliate’s positive opinion(s) about Carrot or Carrot’s products or services should change during participation in the Program so that Affiliate no longer can truthfully endorse Carrot, Affiliate shall immediately advise Carrot, and Carrot shall have the right to immediately terminate the Agreement with the Affiliate without notice. Any unpaid commissions will be forfeited by Affiliate upon discovery and the Affiliate account will be cancelled. This includes but is not limited to the Affiliate creating a directly competing product and endorsing that product over Carrot, the Affiliate disparaging Carrot while promoting a competing product, or any other activity that is not in the spirit of the program.
  3. Affiliates are prohibited from commenting negatively about or disparaging the product, services of Carrot, other affiliates, or any other person or entity, including without limitation the products or services of a Carrot competitor. Carrot reserves the right to terminate an Affiliate from the program without notice and to cancel all unpaid affiliate commissions.
  4. Any materials published by Affiliate represents fair, accurate, typical and truthful depictions of what is represented, be typical of what the average consumer can expect to achieve and clearly and conspicuously disclose generally expected results.
  5. Affiliate must correct any statement that later becomes inaccurate.
  6. Affiliate may not make deceptive or misleading claims, or claims that are not substantiated (i.e., adequate proof must exist to back up the claim).
  7. If Affiliate chooses to comment on Carrot’s competitors or their product(s), it must be made clear such comment is not on behalf of or as a representative of Carrot, and such comment cannot be construed as defamatory, misleading or deceptive, unfair or unsubstantiated.
  8. Affiliate may not engage in defamation, slander, or libel regarding Carrot, Carrot employees, Carrot Affiliates, or other parties associated with Carrot. 
  9. Affiliate may not engage in any communication or disseminate content that is unlawful, harassing, or abusive.
  10. Affiliate may not disseminate any content that is protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless Affiliate owns or controls all rights in the content and all elements of the content or has received all necessary consents.
  11. Affiliate may not use software or technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate payments from another website, including toolbars, browser plug-ins, extensions, and add-ons.
  12. Affiliate may not misrepresent the source of anything in their posted content, including by impersonating another individual or entity.
  13. Affiliate may not engage in any unlawful or deceptive actions with respect to Search Engine Optimization (SEO).
  14. Affiliate may not “self-refer,” meaning that only transactions by other persons using your Affiliate Link will result in Commissions.
  15. Affiliate may not engage in deceptive, manipulative or fraudulent behaviors (whether done independently, in coordination with a Prospect, or another affiliate) or otherwise engage in conduct that, in Carrot’s sole discretion, is abusive of or outside the spirit of the Program in order to acquire additional Commissions.
  16. Affiliate will not in any way copy, resemble, or mirror the look and feel of Carrot’s Website nor use any means to create the impression that your content is Carrot’s , including by framing Carrot’s website in any manner.
  17. Affiliate may not engage in cookie stuffing or include pop-ups or false or misleading links. 
  18. Affiliate will not send unsolicited bulk-emails, text spam, form spam, social media spam or any other form of communication to which Prospects or others have not consented. 
  19. Affiliate agrees to comply with all laws and regulations applicable to the sending of any email communications, including the CAN-SPAM Acts, privacy laws, and data security standards consistent with the industry, and shall indemnify Carrot for any claims resulting from failure to do so. E-mails must be sent on Affiliate’s behalf and must not state or imply that they are being sent on behalf of Carrot. Affiliate shall be the “designated sender” of any emails Affiliate sends that include Carrot links, scrub the prospective list of recipients against applicable do-not-email lists, include a functioning opt-out mechanism in all such emails, and honor all opt-outs. 
  20. Affiliate agrees to comply with all laws and regulations applicable to the sending of any text communications, including the TCPA and related state laws, privacy laws, and data security standards consistent with the industry, and shall indemnify Carrot for any claims resulting from failure to do so. Texts must be sent on Affiliate’s behalf and must not state or imply that they are being sent on behalf of Carrot. Affiliate must not text any third party without prior written consent, and you must honor all opt-outs.
  21. Affiliate agrees to comply with all privacy laws and regulations when collecting Personal Information of Prospects and Customers. Affiliate agrees to comply with Carrot’s Privacy Policy in its treatment of Personal Information, and Affiliate agrees to implement and post its own Privacy Policy.
  22. Affiliate will not offer discounts, coupons, free trials, promo codes, or any other promotional offer that is not expressly authorized by Carrot in writing. Carrot may, on a case-by-case basis, offer you access to discounts, coupons, free trials, promo codes, or other promotional offer, and you agree to comply with all terms and limitations that Carrot establishes in connection with such promotional offers as well as all Laws/Terms. 
  23. Unless otherwise agreed upon in writing by Carrot, Affiliate may not promote through a sub-affiliate network.
  24. The maintenance and the updating of your content, accounts, and sites will be your responsibility, but we may monitor the foregoing and you agree to honor any of our requested changes provided they relate to the Program.

Term of Agreement

This agreement remains in affect until cancelled by either party.

Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying sales are not cancelled or refunded by the referred Customers and the Affiliate has complied with the terms in this Agreement. Payment of the final Commission payment to the Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid.

Disclaimer

Carrot will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, Carrot is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service.

Privacy

To protect Carrot customer privacy, we cannot provide identifying customer names and contact information to you. However, we will provide an online report detailing price, service, date of sale, and perhaps other data for your records.

Independent Contractor

The relationship between Carrot and Affiliate established by this Agreement is that of independent contractors. Carrot and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term “Affiliate” shall not be interpreted as a legal partner or affiliate, simply as an independent contractor for Carrot under this agreement.

Limitation of Damages

Carrot shall not be held liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if Carrot has been advised of the possibility of such damages. Carrot’s aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by Carrot under this agreement.

Affiliate understands that Affiliate tracking can never be 100% accurate and Carrot is not responsible for inaccuracies that might occur beyond its control. Tracking of Affiliate sales depend on several factors which are out of the control of Carrot. It is the goal of Carrot to make Affiliate tracking as accurate as possible, however, Carrot cannot guarantee 100% tracking for situations beyond its control.

Warranty Disclaimer

Carrot makes no warranties expressed or implied with regard to Affiliate Program except as outlined in this agreement.

Governing Law

This agreement shall be governed by the laws of the State of Oregon and the United States.
